Terms of Service
Last updated 10 October 2026
These are the rules for using Sempa, the AI coach. They are meant to be read. If anything here is unclear, write to hello@heysempa.com before you start.
The short version. Sempa is a free alpha coaching tool made by Lopie Development, LLC, and you use it by invitation from a coach. You own what you record and type, and we use it only to run Sempa for you. Sempa is an AI and can be wrong: it is not professional advice, and it is not a basis for decisions about anyone's job. Get people's agreement before you record them. You can stop and delete everything at any time.
1. Who these terms are with
Sempa is made and run by Lopie Development, LLC (“Lopie”, “we”, “us”). “Sempa” in these terms means the Sempa mobile app, this website, the Sempa Slack app, and anything else we give you to use it. By using Sempa you agree to these terms. If you do not agree, do not use it.
These terms work together with the Privacy page, which says what Sempa collects, why, who else sees it, and how long it is kept.
2. Who can use Sempa
- You must be 18 or older. Sempa is a workplace coaching tool for adults.
- You join by invitation. A coach sets up a place for you and sends a one-time pairing code. You cannot sign yourself up. The app is tied to you when you enter the code.
- Look after your phone and your code. Do not share the pairing code or hand your paired phone to someone to use as you. You are responsible for what happens on a phone paired to you. If you lose it, unpair it in Settings or tell us.
- If your employer or organisation arranged Sempa for you, you confirm that you are allowed to use it for work.
3. What Sempa is, and that it is an alpha
Sempa listens to recordings you start, reads what you type to it, reads accounts you choose to connect, and coaches you on what it finds. It is an alpha: small, free, and still changing. Features may change, break or be removed, and data may be reset. We do not promise that it will be available at any particular time. If we end the alpha or change it in a way that affects you, we will tell you where we reasonably can.
4. Sempa is not professional advice
Sempa is an AI and it can be wrong. What it says is coaching, not legal, medical, financial, psychological or employment advice. You decide what to do with it. Check anything that matters before you act on it.
Sempa's notes about a person are input for coaching, not an evaluation. Nobody may use them as the sole basis for a decision about hiring, pay, promotion, discipline or dismissal.
5. Your coach
The person coaching you can see the transcripts of your recordings, what Sempa concluded, and your progress. They cannot see messages from a Microsoft 365 or Google account you connect, because Sempa does not store them. If you do not want your coach to see something, do not record it and do not type it to Sempa.
6. Your content
- You own it. Your recordings, transcripts, chat messages and anything else you give Sempa are yours (“Your Content”).
- What we may do with it. You give us a limited, non-exclusive, worldwide, royalty-free licence to store it, process it, analyse it, show it to your coach, and use it to run Sempa for you, as the Privacy page describes. We do not use it to train AI models, and we do not sell it. The licence ends when you delete the content.
- You have the right to share it. You promise that you are allowed to give Sempa what you give it. That includes being allowed to record it, and not handing over someone else's confidential information that you have no right to share.
- You can delete it. Delete a recording, or delete everything in the app (Settings, Your data, Delete my data). The delete your data page explains exactly what goes.
7. Recording other people
A recording captures everyone in the room, not just you. Sempa never records on its own: a recording starts only when you press record, and the app shows it is recording while it runs. Whether you may record a conversation depends on where you and the other people are, and many places require everyone to agree first. Tell the people you are with, and get their agreement, before you start. Do not record anything confidential, privileged, or covered by a rule your employer has set. You are responsible for the recordings you make.
8. Accounts you connect
You can connect a Microsoft 365 or Google account. It is optional. The connection is read-only: Sempa cannot send, change or delete anything. You sign in to Microsoft or Google yourself, and you can disconnect in Settings at any time, or take Sempa's access away from your Microsoft or Google account settings. Connect only an account you are allowed to connect, and check your employer's rules first if it is a work account. Microsoft's and Google's own terms apply to those accounts.
Sempa's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. The Privacy page has the details.
9. What you may not do
- Break the law or someone else's rights with Sempa, including recording people unlawfully.
- Use Sempa to harass, spy on or monitor anyone without their knowledge.
- Upload or record content you have no right to share.
- Try to get around Sempa's limits, reach another person's data, or probe or attack our systems. If you find a security problem, write to hello@heysempa.com and we will fix it.
- Copy, reverse engineer, scrape or resell Sempa or its output, or interfere with how it runs.
10. What belongs to whom
Sempa, including its software, coaching methods, design and name, belongs to Lopie. While you are allowed to use it, we give you a personal, non-exclusive, non-transferable, revocable licence to use the app on your own devices for its intended purpose. If you send us feedback, we may use it without owing you anything for it.
11. If you got the app from Apple or Google
- These terms are between you and Lopie. They are not between you and Apple or Google, and neither is responsible for Sempa or what it contains.
- Apple and Google have no duty to provide maintenance or support for Sempa.
- If Sempa does not meet a warranty that applies to it, you may tell Apple or Google. Any refund of a purchase price is theirs to make, and the alpha is free. Apart from that, they have no warranty duty for Sempa.
- Lopie, not Apple or Google, answers any claim about Sempa, including claims about product liability, legal compliance, consumer protection and intellectual property.
- Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
- You confirm that you are not in a country under a US government embargo, and are not on a US government list of prohibited parties.
12. Stopping
You can stop whenever you like. Unpair the phone, delete your data, and stop using Sempa. We may suspend or end your access if you break these terms, if we need to protect Sempa or other people, if the law requires it, or if we end the alpha. When access ends, your licence to use the app ends. The parts of these terms that by their nature should continue, such as ownership, the disclaimers, the limit on liability and the governing law, continue.
13. No warranties
Sempa is provided “as is” and “as available”. To the fullest extent the law allows, we make no promises, express or implied, about it, including that it will be accurate, uninterrupted, error-free, suitable for a particular purpose, or free of harm to your device. Some places do not allow these exclusions, and where that is so they apply only as far as the law permits.
14. Limit on our liability
To the fullest extent the law allows, Lopie and the people who work for it are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost goodwill, arising from your use of Sempa. Our total liability for any claim about Sempa is limited to the greater of US$100 or the amount you paid us in the 12 months before the claim. The alpha is free, so that is US$100. Nothing in these terms limits a liability that the law does not allow to be limited.
15. Your responsibility
You are responsible for what you record, type and connect, and for following the law and your workplace's rules when you do. To the extent the law allows, if your use of Sempa breaks the law or someone else's rights and that leads to a claim against us, you will cover the reasonable losses it causes us.
16. Changes to these terms
If we change these terms we will update this page and the date at the top. If the change is significant we will tell you in the app or by email before it takes effect, where we can. If you keep using Sempa after a change takes effect, you accept it. If you do not accept it, stop using Sempa and delete your data.
17. Governing law and disputes
The laws of the State of California govern these terms, without regard to its conflict-of-law rules. If we cannot settle a dispute, the state and federal courts located in California have jurisdiction over it. Before you file anything, write to hello@heysempa.com and give us 30 days to try to resolve it. If you live somewhere with consumer protection rules that cannot be waived, they still apply to you.
18. The rest
These terms and the Privacy page are the whole agreement between you and us about Sempa. If a part of them cannot be enforced, the rest stays in force. If we do not enforce a part straight away, we have not given it up. You may not transfer your rights under these terms without our consent. We may transfer ours if Sempa is sold or reorganised.
